1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Wawasan", "we", "us", "our" — refers to Wawasan, a business advisory firm registered in Malaysia at No. 18, Jalan Kenari 5, Bandar Puchong Jaya, 47100 Puchong, Selangor.
- "Services" — refers to any business advisory, consulting, or related services provided by Wawasan, including the Hands-On Review, Shaping Advisory, and Whole Workshop Programme.
- "Client", "you", "your" — refers to any individual or business entity that engages our Services or visits our website.
- "Agreement" — refers to these Terms and Conditions together with any service agreement or invoice issued to the Client.
- "Content" — refers to written summaries, plans, or other documents produced by Wawasan as part of the Services.
- "Website" — refers to the website operated by Wawasan at https://wawasant.cyou.
2. Acceptance of Terms
By submitting an enquiry, signing a service agreement, or making payment for any Service, you confirm that you have read, understood, and agreed to these Terms and Conditions. These Terms form a binding agreement between you and Wawasan.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Service Description
Wawasan provides business advisory services to small business owners primarily in Malaysia. Our current service offerings are:
- Hands-On Review — a single advisory session with a written summary (RM 590)
- Shaping Advisory — a two-session engagement with a written plan and follow-up review (RM 1,290)
- Whole Workshop Programme — ongoing monthly advisory support (RM 2,010 per month, minimum three months)
We reserve the right to adjust service scope and pricing at any time, with advance notice provided to existing clients before changes take effect.
4. Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM). An invoice will be issued to the Client prior to the commencement of Services. Payment is due within 7 days of invoice date unless otherwise agreed in writing.
Accepted payment methods include bank transfer (FPX), online banking, and other methods as agreed. Wawasan does not accept cash payments.
Refund policy: If a session is cancelled by the Client with at least 48 hours' notice, a full refund of any advance payment will be issued. Cancellations with less than 48 hours' notice may result in forfeiture of the session fee. If Wawasan cancels a scheduled session, a full refund or reschedule will be offered.
5. Service Delivery Terms
Sessions are conducted in person (at our Puchong office or agreed location) or by video call, as arranged with the Client. Sessions will be scheduled and confirmed at least 3 working days in advance.
Written deliverables (summaries and plans) will be provided within 2–5 working days of the relevant session unless otherwise agreed. Deliverables are provided in PDF or document format.
The scope of each Service is as described in Section 3. Additional sessions or work beyond the agreed scope may be subject to separate fees, to be agreed in writing before commencement.
6. Client Responsibilities
To enable us to deliver Services effectively, the Client agrees to:
- Attend scheduled sessions on time or provide at least 48 hours' notice if unable to attend
- Provide accurate and complete information relevant to the engagement
- Communicate promptly in response to reasonable requests for information
- Use written deliverables for their own business purposes only, not for redistribution
7. Confidentiality
Wawasan treats all information shared during advisory sessions as strictly confidential. We will not share client business information with other clients, business partners, or third parties, except where required by law.
We ask Clients to treat any information shared by Wawasan about our methods or other matters as confidential and not to share it publicly without prior written consent.
8. Intellectual Property
The Content produced by Wawasan as part of the Services (written summaries, plans, templates) is provided to the Client for their personal business use. Wawasan retains the underlying intellectual property rights in all Content.
Clients may not republish, sell, or distribute Content without prior written consent from Wawasan. General methodologies and frameworks remain the property of Wawasan.
9. Disclaimers
Wawasan provides advisory services based on information provided by the Client and our consultants' professional experience. Our advice and written deliverables represent our considered perspective at a given point in time, based on the information available to us.
We do not provide legal, financial, tax, or accounting advice. Where such advice is needed, we will say so clearly and recommend the Client engage an appropriately qualified professional.
Business outcomes depend on many factors outside our control. We make no representation about specific business results that may or may not follow from our advice.
10. Limitation of Liability
To the maximum extent permitted under Malaysian law, Wawasan's total liability to the Client in connection with any Service shall not exceed the total fees paid for that specific Service engagement.
We will not be liable for indirect, consequential, or special damages, lost profits, or losses arising from reliance on our advice where information provided by the Client was incomplete or inaccurate.
Nothing in these Terms limits our liability for fraud, gross negligence, or where liability cannot be excluded by Malaysian law.
11. Indemnification
The Client agrees to indemnify and hold harmless Wawasan and its consultants against any claims, losses, or expenses arising from the Client's use of our Services in breach of these Terms, or from inaccurate or misleading information provided by the Client.
12. Termination
Either party may terminate an ongoing engagement (such as the Whole Workshop Programme) by providing 30 days' written notice. Fees for Services already delivered are non-refundable. Fees paid in advance for undelivered Services will be refunded on a pro-rated basis.
Wawasan may terminate Services immediately if the Client behaves in a manner that is threatening, dishonest, or otherwise makes continued engagement untenable.
13. Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt to resolve the matter through direct, good-faith communication.
If a dispute cannot be resolved informally within 30 days, the parties may refer the matter to mediation through the Malaysian Mediation Centre before pursuing legal proceedings. The courts of Malaysia shall have exclusive jurisdiction.
14. General Provisions
- Entire agreement: These Terms, together with any service agreement or invoice, constitute the entire agreement between the parties.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
- Assignment: The Client may not assign rights under these Terms without prior written consent from Wawasan.
- Notices: Formal notices should be sent in writing to the address or email below.
15. Changes to These Terms
We may update these Terms from time to time. We will notify existing clients of material changes by email at least 14 days before they take effect. The updated Terms will be published on our website. Continued use of our Services after the effective date constitutes acceptance.
